Pinheiro Neto advises on the acquisition of OiWarren by Cocos
Pinheiro Neto Advogados has advised on the acquisition of OiWarren Holdings LLC by Cocos Capital, an Argentine private equity firm, from Warren Cayman, a holding company incorporated in the Cayman Islands. The transaction, remains pending and involves the acquisition of 100% of the target company, which operates a securities brokerage business based in the United States.
The transaction value has not been disclosed. Pinheiro Neto acted as Brazilian counsel to both the purchaser and the seller, given that the target company and the parties involved were incorporated outside Brazil. As a result, the drafting and negotiation of the principal transaction documents were led by foreign counsel: Gunderson Dettmer represented the seller, while Salaverri, Burgio & Wetzler Malbrán acted for the purchaser.
Pinheiro Neto relied on partner Ricardo Binnie (pictured left), together with senior associate Rodolfo F. Schreuders and associate Leonardo Duarte Moreira.
On the Cocos Capital side, the firm’s team included partners Vânia Marques Ribeiro (pictured right) and Tatiana Guazzelli, along with associates Catharina Fávero Mirandola and Roberta Bolognese de Almeida.
