Pinsent Masons represents Atrys in acquisition of Bienzobas

Pinsent Masons has represented Atrys Health in the acquisition of the entire share capital of Bienzobas Salud for a total consideration of €76.3 million, consolidating Atrys’ entry into the Mexican market.

The transaction consisted of a purchase and sale agreement, signed on 7 June, through which Atrys acquired 100% of the equity of Significant Impact Systems, which in turn owns 100% of Bienzobas Salud. The transaction is expected to close by the end of June.

The acquisition will be financed by Atrys through a capital increase carried out through an accelerated private placement procedure. Of the amount, 72.1 million will be paid in cash, while the remaining 4.27 million will be delivered in Atrys shares.

With this transaction, Atrys enters the Mexican market, as in January 2022 Bienzobas acquired 80% of Mexico’s Gefarma, which provides oncology and cancer treatment services in Mexico City.

Ernst & Young acted as advisor to the sellers, while Atrys also relied on PwC Spain to conduct due diligence.
