RAD assists in integration of Chilean, Colombian and Peruvian Stock Exchanges

Rebaza Alcázar & De Las Casas has assisted in the regional integration process of the Santiago Stock Exchange (BCS), the Colombian Stock Exchange (BVC) and Grupo BVL – Bolsa de Valores de Lima (BVL Group).

The regional integration plan involves the BCS, the BVC and the BVL Group unifying into a regional holding company incorporated in Chile, in order to compete with other leading exchanges in the region, and represents an unprecedented transaction in the history of the Latin American stock market.

The closing of the transaction, signed on 20 June, is subject to the holding company executing the merger process with the BVC, at which time the change in shareholding will become effective.

The firm provided tax advice to the BVL Group -majority shareholder of the Lima Stock Exchange-, and certain non-resident shareholders -BVM Group and B3- Brasil Bolsa Balcao-, in the structuring, implementation and analysis of the tax implications that would arise for the BVL Group and those shareholders, due to the implementation of the regional integration plan of the stock exchange organisations that make up the Pacific Alliance.

Fiorella Palacios, Vanessa Zea and Katherine Jara acted as in-house counsels to the BVL Group.
