RAD on Estela’s acquisition of DBNet and Digiflow

Rebaza Alcázar & De Las Casas has advised Estela, a digital compliance company in Latin America, on the acquisition of DBNet in Chile and Colombia and Digiflow in Peru.

With this acquisition, Estela seeks to expand its operations in the region. Both acquired companies are dedicated to digital transformation, offering e-invoicing and tax compliance solutions.

This transaction took place on 15 November, where Morales & Besa advised Estela in Chile; and Bofill Mir Abogados together with Payet Rey Cauvi Pérez (PRCP) advised DBNet, Digiflow and the vendors in Chile and Peru, respectively.

Estela is a technology company that provides solutions for the issuance of electronic tax documents, electronic signature, among others. The company operates in the region through Pegaso Tecnología, Facture and Indicium. Estela is backed by Accel-KKR, a global private equity firm with $19 billion in cumulative capital commitments, focused exclusively on software and technology services companies.

Bofill Mir’s team consisted of partner Rodrigo Saffirio, senior associate Antonia Ballacey and associate Andrés de Iruarrizaga.

PRCP’s team comprised partner Juan Antonio Egüez, principal associate Guillermo Arribas and associate Cristina Miranda.

Morales & Besa’s team included partner Michel Dibán and associates Vicente Valdés and Juan José Prieto.
