Rebaza Alcázar on ACRES trust structuring
Rebaza Alcázar & De Las Casas has advised ACRES Sociedad Agente de Bolsa in the structuring of the securitisation trust for the issuance of short-term instruments, under which the placement was made on 15 September 2023.
The short-term instruments have been issued through a private offering and are aimed exclusively at institutional investors.
The originators, Grupo Vega and Corporación Vega, are companies dedicated to distribution and retail shops for the sale of food and groceries, among other essential products, and belong to Grupo Vega, a Peruvian food chain. They have a presence throughout Lima, with more than 60 shops including markets, wholesalers and super-wholesalers.
This marks the first debt operation in the capital market for Grupo Vega, which currently has plans for geographic expansion and own-brand products.
The advice involved accompaniment at all stages of the transaction, from due diligence of the originators and securitisation assets, to the process of structuring the issuance of short-term instruments and the preparation of the issuance documents.
Elizabeth Narvaez acted as in-house lawyer for Acres Finanzas; while Diego Peschiera and Jesús Desme acted as in-house legal counsels to the originators.
