Several firms act on the issuance of Almaviva

Machado Meyer and Linklaters advised the issuer, TozziniFreire and Milbank acted as a special counsel to the initial purchasers, in connection with the issuance of €725.0 million in aggregate principal amount of Almaviva S.p.A.’s senior secured notes due 2030.

The notes were issued at an issue price of 100.000% of principal amount and will bear an interest rate of 5.00% per annum. The issuer will pay interest on the notes semi-annually in arrears on each of April 30 and October 30, commencing on April 30, 2025.

Application has been made for the notes to be listed on the Official List of the Luxembourg Stock Exchange and admitted to trading on the Euro MTF market thereof. The proceeds of the offering are expected to be used to acquire 100% of the share capital of Iteris, Inc.; redeem the entire outstanding aggregate principal amount of the Issuer’s €350,000,000 4.875% Senior Secured Notes due 2026; pay fees and expenses, including redemption premiums and accrued interest; and general corporate purposes (including to fund potential future bolt-on acquisitions).
