Several law firms advise on the acquisition of Conta Azul by Visma

Several law firms advised on the acquisition of Conta Azul International Holdings Corporation (controlling entity of Conta Azul Software and Conta Azul Instituição de Pagamento) by Visma (BVI) Holding Limited (a subsidiary of Visma International Holding). A transaction carried out in the British Virgin Islands (BVI).

The deal involved the purchase of 100% of Conta Azul’s capital, providing an exit for all its investors, including major venture capital firms such as Tiger Capital, Ribbit Capital, Monashees, and BTG Pactual (which held a 27% stake). Despite selling their shares, ContaAzul’s founders, Vinícius Roveda and José Sardagna, are expected to remain as executives within Visma.

As a result, Visma International Holding AS became the sole shareholder of Conta Azul International Holdings Corporation and the controlling entity of the Conta Azul Group, which specializes in providing cloud-based financial ERP solutions for small and medium-sized businesses in Brazil.

The transaction value is around R$ 1.8 billion. The transaction remains subject to the fulfillment of certain conditions precedent, including approval by CADE and other regulatory authorities.
