Simpson Thacher and Ritch Mueller on offering of FIBRA Prologis
Simpson Thacher has advised FIBRA Prologis in connection with a primary offering of 138,000,000 Real Estate Trust Certificates (Certificados Bursátiles Fiduciarios) (“CBFIs”) pursuant to Rule 144A and Regulation S under the Securities Act for MXN9,660 million (approximately US$571 million).
The offering consisted of 83,131,095 CBFIs to public investors in Mexico and an international offering of 54,868,905 CBFIs outside of Mexico. The CBFIs are listed on the Mexican Stock Exchange.
This transaction involved the jurisdictions of Mexico and the United States (New York), and closed on 8 March. Ritch Mueller acted as advisor to the placement intermediaries in Mexico; while Creel García-Cuéllar Aíza y Enríquez advised FIBRA Prologis in Mexico, and Jones Day acted as New York counsel to the initial purchasers.
Citibanamex Casa de Bolsa, J.P. Morgan Casa de Bolsa and Casa de Bolsa BBVA Mexico, acted as placement intermediaries.
FIBRA Prologis is a leading owner and operator of Class A industrial real estate in Mexico, with 235 logistics and manufacturing facilities in six industrial markets in Mexico totaling 46.9 million square feet of gross leasable area.
