Souto Correa advises E&P on the acquisition of SF Resgate
Souto Correa Advogados advised E&P Infraestrutura, a company specialized in the rehabilitation of roads and highways, and its shareholders on the acquisition of 100% of the shares of São Francisco Resgate (SF Resgate) held by Ultra Som Serviços Médicos, part of the Hapvida Group.
SF Resgate is one of the largest providers of emergency medical services in Brazil, with its own fleet of more than 220 ambulances and operating contracts with highway concessions, hospitals, and airports.
Under the terms agreed upon, the enterprise value of the transaction is R$150 million, subject to price adjustment mechanisms common in similar transactions. The closing of the transaction is subject to the approval of the national Antitrust Authority (Cade) and the satisfaction of certain conditions precedent set forth in the share purchase agreement.
