Stocche Forbes and Pinheiro Neto advise on Minerva debenture deal
Stocche Forbes Advogados advised the issuer, Pinheiro Neto Advogados advised the underwriter, on the 21st issuance of simple debentures, non-convertible into shares, of the unsecured type, in two series, by Minerva, pursuant to CVM 160. The transaction, denominated in Brazilian reais, totalled BRL 1.5 billion.
The first series, identified by ISIN BRBEEFDBS065, carries a coupon of 113.5% of the DI rate per annum and matures on April 15, 2029. The second series, identified by ISIN BRBEEFDBS073, carries a coupon of 100% of the DI rate plus 1.70% per annum and matures on April 15, 2031. Both series were issued at a price of BRL 1,000.00, with settlement on April 30, 2026.
