Tauil & Chequer advises Eletrobras in corporate reorganization

Tauil & Chequer Advogados associated with Mayer Brown has advised Eletrobras in a corporate reorganization through the incorporation of all the shares issued by its subsidiaries Companhia Hidrelétrica do São Francisco (Chesf), Furnas, Companhia de Geração e Transmissão de Energia Elétrica do Sul do Brasil (CGT Eletrosul) and Eletronorte.

The operation aimed to optimize the company’s decision-making process and generate operational gains, as well as reduce costs and increase competitiveness. As a result of the operation, Eletrobras’ capital stock was increased by approximately R$286 million.

The Firm’s professionals developed the necessary documents for the five companies involved, which are located in four different Brazilian states. In addition, some of the companies were privately held and others were publicly traded, which added even more complexity to the process.

The team was led by partners Alexandre Chequer (pictured lefr) and Bruno Salzano (pictured center) from the Corporate and M&A area, as well as partner Rodolfo Tella (pictured right) from the Capital Markets & Securitization area.
