TCA assists in new issue of Adblick Granos Plus
Tanoira Cassagne Abogados has assisted in the issuance of the third tranche of the Closed-end Mutual Fund ‘ADBLICK GRANOS PLUS FONDO COMÚN DE INVERSIÓN CERRADO AGROPECUARIO’ (ADBLICK GRANOS PLUS AGROPECUARIO CLOSED-ENDED INVESTMENT COMMON FUND).
The Quota Shares were placed on September 27th, and were authorized by the Comisión Nacional de Valores by resolution dated August 17th, 2022, for the amount of USD $757,420.
Allaria Fondos Administrados Sociedad Gerente de Fondos Comunes de Inversión acted as managing company, Banco Comafi as depositary company, Adblick Granos as investment advisor, Allaria as arranger and placement agent, and Zofingen Securities as placement agent.
The Fund was established for the exclusive purpose of granting profitability to the unit holders through investment in (i) equity rights represented or not by securities, with or without public offering of companies and/or vehicles, which may qualify as Pymes CNV in accordance with the provisions of the CNV Rules, (ii) negotiable obligations with or without public offering, secured or unsecured, issued by companies, which may qualify as CNV SMEs in accordance with the provisions of the CNV Rules, engaged in agricultural business, including those in which ADBlick Granos and its controlling and controlled companies are parties, (iii) negotiable obligations with or without public offering, secured or unsecured, issued by companies, which may qualify as CNV SMEs in accordance with the provisions of the CNV Rules, engaged in agricultural business, including ADBlick Granos and its controlling and controlled companies.
In addition, the Fund provides for a single class of Condominium Quota Shares. Each Quota-Participant is entitled to one (1) vote, to participate in the distribution of profits that may be decided by the Manager as provided in the Regulations and to participate in the remainder that may exist at the time of liquidation of the Fund for any of the reasons contemplated in the Regulations after the cancellation of all the obligations of the Fund arising from the payment of taxes, fees, contributions, reserves, expenses, liabilities, including the expenses and fees payable by the Fund.
The Fund’s shares have been authorised for listing on the Argentine Stock Exchanges and Markets.
