Three firms advises on Bradesco–Odontoprev healthcare deal
Mattos Filho advised the independent committee and Odontoprev while Pinheiro Neto Advogados advised Banco Bradesco on the transaction that combined the businesses of Bradesco Gestão de Saúde — a company that holds the equity interests in the healthcare segment indirectly controlled by Banco Bradesco — with Odontoprev, a leading publicly traded company in dental plans.
The transaction took place through the merger, by Odontoprev, of all shares issued by Bradesco Gestão de Saúde, consolidating, under Odontoprev, the equity interests of Organização Bradesco in the healthcare segment.
The operation will still go through other stages necessary to comply with regulatory requirements. After the merger is completed, the resulting company will be called Bradsaúde, which will act as a consolidator of the Bradesco Organization’s healthcare ecosystem, with revenues exceeding R$ 50 billion and an estimated market value of R$ 38 billion.
With unified control of the healthcare business, Bradsaúde will be able to expand and integrate its healthcare and dental solutions more efficiently.
