TozziniFreire acts on investment in Pyfy by BB Ventures
TozziniFreire has acted as advisor to BB Ventures Fund on a lead investment in Payfy, a corporate expense management company, and the conversion of the loan by the remaining investors, which include individuals who invested through a crowdfunding round managed by Captable and legal entities, such as XMS and Darwin.
This transaction was closed on 9 March, with Hallem Advogados acting as advisor to Payfy.
The deal required proposing alternatives on the capitalisation by investors through crowdfunding, as well as alternatives to set up a complex corporate governance of a closed stock company with hundreds of shareholders.
Payfy is a technology company that offers solutions for corporate expense management, including corporate card issuance and software for controlling corporate and personnel expenses.
