Trench Rossi advises Canadian Solar on the sale of solar plants to SPIC Brasil

Trench Rossi Watanabe advised Canadian Solar on the sale of 70% of the shares of Panati Holding and Marangatu Holding, owners of two greenfield solar projects with total generating capacity of 738 MWp, to the Chinese group State Power Investment Corporation of China (Spic).

Panati Holding S.A. and Marangatu Holding own, respectively, the Panati-Sitiá plants, in Jaguaretama, Ceará, with a capacity of 292 MWp, and Marangatu Holding, in the municipality of Brasileira, Piauí, with a capacity of 446 MWp.

The firm supported Canadian Solar in the preparation and negotiation of the contracts and documents necessary for the purchase and sale transaction.

Silvia Bernardino (pictured left), lawyer from Trench Rossi Watanabe’s Corporate & Finance practice, acted in the case together with partner José Roberto Martins (pictured right) leader of the firm’s Energy, Mining, and Infrastructure group, and associate Gustavo Freitas.

Alice Azevedo and Marjory Azevedo were the in-house lawyers of Canadian Solar involved in the operation.

Spic was advised by Urbano Vitalino Advogados, represented by Bruno Muzzi and Carolina Pacini. The in-house lawyers of the company were Wanderley Fernandes and Gabriel Ribeiro.

The closing of the transaction is subject to the approval of the antitrust authorities.
