TRSYM and Bruchou advise on new issue of Grupo Albanesi
Tavarone Rovelli Salim & Miani has advised Generación Mediterránea and Central Térmica Roca, of the Albanesi Group, and Bruchou & Funes de Rioja as arrangers, placement agents and settlement agent, in the co-issuance of their additional class XXV and XXVI Notes for USD $31,380,462.
The co-issuance was carried out under the Simple Negotiable Obligations Programme (not convertible into shares) for a total nominal value of up to USD $1,000,000,000,000 (or its equivalent in other currencies or units of measurement or value).
The additional class XXV Notes, issued on 18 October for a nominal value of USD $3,668,561, will be integrated and payable in US dollars in the country at a fixed interest rate of 9.50% nominal per annum maturing on 18 April 2026.
The additional class XXVI Notes, denominated in US dollars and payable in pesos, were issued on 12 October, at a fixed interest rate of 6.50% nominal per annum, maturing on 12 April 2026, for a nominal value of USD $27,711,901.
The additional Class XXVI Notes were offered to the investing public in two fully fungible series, Series A of the additional Class XXVI and Series B of the additional Class XXVI. The Additional Class XXVI Series A was integrated exclusively in kind through the delivery of Class XI Notes in the amount of US$731,633, which were co-issued by the Companies on 12 November 2021. The additional class XXVI Series B was integrated exclusively in cash in pesos at the integration exchange rate (as such term is defined in the supplement dated 29 November 2023) for an amount of USD $26,980,268.
Banco de Servicios y Transacciones, SBS Trading, Balanz Capital Valores, Macro Securities, Facimex Valores, Puente Hnos, Banco de la Provincia de Buenos Aires, Nación Bursátil, Banco Supervielle, Bull Market Brokers, Invertironline, Invertir en Bolsa, Petrini Valores, Neix, Global Valores, TPCG Valores, Banco Hipotecario, BACS Banco de Crédito y Securitización, and Allaria acted as placement agents; while SBS Capital and Banco de Servicios y Transacciones acted as arrangers; and Banco de Servicios y Transacciones acted as settlement agent for the two additional classes of Notes.
