Two firms act in the formation of the JV Biometano Verde Paulínia
Veirano Advogados advised Compass Comercialização, a subsidiary of Compass Gás e Energia that has entered into an agreement comprising an investment to be made in Biometano Verde Paulínia, a company under the control of Orizon Valorização de Resíduos and incorporated to engage in the production and purification of biogas, which was advised by Mattos Filho.
Pursuant to the agreement, Compass Comercialização will initially invest BRL235 million in the company (BRL100 million as cash in, and BRL135 million as cash out). Upon the closing of the transaction, Compass Comercialização will hold 51% of the corporate capital of the company. An additional payment of up to BRL120 million to the sellers is contingent upon the delivery of a larger volume of biogas by Orizon Valorização de Resíduos to the Biometano Verde Paulínia.
