Two firms act on the acquisition of shares of Comerc by Vibra
Lefosse and Mattos Filho advised the transaction in which Vibra Energia, owner of 48.7% of Comerc Energia‘s share capital, investment funds managed by Perfin, and Cristopher Alexander Vlavianos entered into an agreement to anticipate Vibra’s right to purchase 50% of the Comerc Energia’s share capital.
Comerc Energia, which initated its activitied in 2001, is a renewable energy solutions company. The transaction aligns with one of Vibra Energia’s strategic pillars and consolidates it as one of the largest multi-energy platforms in Brazil.
Additionally, with this transaction, Vibra Energia estimates synergies of BRL 1.4 billion in the coming years, which include reductions in financial costs, optimization of the tax structure, and operational cost efficiencies, all of which are expected to be implemented within two years. The proposed transaction is subject to customary approvals, and its completion is expected in the first quarter of 2025.
