Two firms advise on AXS BRL 550m Solar Investment
Machado Meyer and Pinheiro Neto advised on the investment of BRL 550 million in AXS Participações for the purpose of paying corporate bonds and the remaining for working capital and development of power solar plants focused on distribution generation of renewable energy.
The transaction structure is composed by a securitized debenture backed by a convertible debenture issued by AXS Participações in the amount of BRL 550 million; an investment agreement ruling such corporate structure and a shareholders’ agreement; and the acquisition by the investor of the convertible debenture by means of fundraising and consequent conversion in capital stock of AXS Participações.
