Two firms advise on sale agreement with RIP and Construteckma
Souto Correa Advogados has advised the owners of Construteckma Engenharia on a structured sale agreement with RIP Serviços Industriais, a Brazilian subsidiary indirectly owned by KAEFER SE & Co KG, a German company that provides industrial engineering services for more than 100 years in Germany, which was advised by Pinheiro Neto Advogados.
The transaction value comprehended the direct acquisition, by RIP, of 100% of the quotas representing the capital stock of Construteckma, company owned by Fábio Barione and Simone dos Santos Barione, and the indirect acquisition of Servteckma Serviços Industriais, a wholly-owned subsidiary of Construteckma;
Souto Correa relied on partner Tiago Figueiró (pictured left) and associates Waneska Overbeck, Felipe Iacono, Thago Vasconcellos, Isadora Telli and Alvaro Rossini.
Pinheiro Neto relied on partner José Roberto Oliva (pictured right), senior associates João Vitor de Araujo Crepaldi and José Carlos Altomari Teixeira, and associates Pedro Afonso Borges Gonzalez and André Henrique Pereira de Oliveira.
