Two firms advises on assets acquisition of EDP Brasil by Actis
Mattos Filho Advogados advised Edify Empreendimentos e Participações, an affiliate of Actis Assessoria Investimentos on the acquisition of two electric power transmission companies held by EDP – Energias do Brasil, namely EDP Transmissão SP-MG and Mata Grande Transmissora de Energia Elétrica (MGTE), which was advised by Madrona Fialho Advogados.
The intended sale of shares stemmed from a competitive process in which Actis emerged as the winner. Upon the completion of the acquisition, contingent upon the verification of certain contractually stipulated conditions precedent, Actis will assume 100% ownership of the total share capital of EDP SP-MG and MGTE.
The purchase and sale agreement was signed on october 31, 2023, and the closing is scheduled for the end of this year. The transaction value is BRL 2,700,000,000.00 (USD 540 millions).
