Two firms advises on the acquisition of Wickbold by Bimbo
Trench Rossi Watanabe advised the buyer, and Pinheiro Neto Advogados advised the sellers on the acquisition of Wickbold & Nosso Pão Indústrias Alimentícias and other entities of the group by Bimbo do Brasil, the Brazilian subsidiary of Grupo Bimbo.
The transaction included the iconic bread brands Wickbold® and Seven Boys®, and four manufacturing facilities located in Brazil’s south and southeast regions. These plants produce a wide range of bakery products, including packaged bread, sweet baked goods, cookies, bisnaguinhas, and panettones, under one of the most traditional and beloved brands in the country, with an 87-year history. A landmark deal in Brazil’s consumer goods sector, the transaction combined high cultural relevance and substantial legal complexity.
Pinheiro Neto also worked on sophisticated antitrust negotiations before CADE, resulting in the approval of the transaction with behavioral remedies and brands divestment (Tá Pronto! and Nutrela). The terms of the “Tá Pronto!” brand divestment had to be formalized prior to closing through a binding document, adding an additional layer of legal and transactional complexity. The deal also involved succession planning and coordination among multiple family sellers, requiring the negotiation of sophisticated governance and representation structures to ensure alignment across generations of the Wickbold family.
