VBSO advise Banco Bmg on the acquisition of MG Seguros
VBSO Advogados advised Banco Bmg in the signing of share purchase agreement for the acquisition of 60% of MG Seguros, Vida e Previdência.
Under the share purchase agreement, Banco Bmg and Integra Participações through its subsidiaries, will acquire, respectively, 60% and 40% of the shares of MG Seguros, Vida e Previdência.
The deal includes the negotiation of the terms and conditions for the acquisition, as well as the negotiation of a shareholders agreement.
The transaction value was fixed at R$ 18 million.
The effective conclusion of the operation is subject to the approval of BACEN, CADE and SUSEP.
The deal was led by the partner Amanda Visentini Rodrigues and associates Rodrigo Felli Paes de Barros and Beatriz Soares Locoselli.
Zancan, Almeida e Silva Advogados with partner Leandro Luiz Zancan and Petrarca Advogados with team composed by Daniel Petrarca, Carolina Petrarca e Rafael Lobato, represented Integra Participações.
Rolim, Viotti, Goulart, Cardoso Advogados represented MG Seguros, Vida e Previdência and relied on Fabio Appendino e Alessandra Rezende Torres.
