Vouga represents Paracel in Heinzel investment

Vouga Abogados has represented Paracel, and its main shareholders, on the investment by Austrian Heinzel Holding GmbH in the company, which becomes its main investor.

The transaction will enable Paracel to continue its project to produce 1.8 million metric tons of eucalyptus pulp per year in Concepción, northern Paraguay, with forestry assets of more than 180,000 hectares of land owned by Paracel.

Paracel has previously received capital commitments from a group of Paraguayan and European business families, and Heinzel’s investment completes the strategic capital needed for the project. Heinzel will hold 25% of Paracel’s shares when the project is completed.

The advisory services included the drafting, negotiation and closing of the Shareholders’ Agreement, the Subscription Agreement and other ancillary documents.

Latham Watkins acted as international counsel to Paracel; while Ferrere and Hughes Hubbard acted as local and international counsel to Heinzel, respectively.

Heinzel Group, based in Vienna, is active in the pulp and paper industry, with production sites in Austria, Germany and Estonia and a global sales network specialising in emerging markets.
