Three law firms act on the acquisition of ContourGlobal

Stocche Forbes advised Infraestrutura Brasil Holding XX, a porftolio company of funds managed by Pátria Investimentos, on the execution of agreements ruling the acquisition of 100% of the equity interest in ContourGlobal do Brasil Holding, a subsidiary of ContourGlobal, and, indirectly, of of 100% equity interest in 24 special purpose vehicles with activities in the wind power sector in Brazil, including a 51% equity interest in Chapada do Piauí I Holding and Chapada do Piauí II Holding. ContourGlobal was represented by Pinheiro Neto Advogados.

The acquisition also contemplates shares issued by Chapada do Piauí I Holding and Chapada do Piauí II Holding held by Eletrobrás, representing 49% of their capital stock, in view of the exercise by Eletrobras of the Tag-Along Right set forth in the shareholders’ agreement between Eletrobras and ContourGlobal. Cescon Barrieu Advogados advised eletrobrás.

This cross-border transaction involves the jurisdictions of Brazil, Luxembourg, United States and United Kingdom and its closing is subject to the satisfaction of customary conditions precedent.
