Two firms advise on the acquisition of MeuTudo by BTG Pactual

Pinheiro Guimarães advised Banco BTG Pactual on its acquisition of a call option and subscription warrants representing 48% of the total voting capital stock of Tudo Holding (operating as MeuTudo), a Brazilian digital credit company, which was advised by Cescon Barrieu.

The transaction was valued at BRL 587 million. The amount was allocated to the subscription of new equity in the company. The remaining portion of the deal is structured as a funding commitment, including an investment in a FIDC (receivables investment fund) that acquires credit rights originated by MeuTudo — a vehicle used to finance its credit operations.

MeuTudo is a Brazilian digital credit platform with significant operations in payroll-deducted loans and other consumer-focused financial products. The transaction remains subject to customary conditions precedent, including applicable regulatory approvals.

The deal involved a hybrid corporate and contractual structure combining primary capital instruments and structured funding mechanisms. It also required the implementation of a pre-closing corporate reorganization to enable the investment, alongside the negotiation of shareholders’ agreements and governance arrangements between the founders and BTG.
