TozziniFreire advises on Mederi notes issuance
TozziniFreire Advogados advised Banco Bradesco BBI and Mederi Participações on the issuance of commercial notes bearing interest equivalent to the DI Rate plus 2.10% per year. The offering, structured with a corporate guarantee, totaled BRL 832,294,460.00. Banco Bradesco BBI acted as lead arranger, Mederi Participações as issuer, Venire Participações as guarantor, and Oliveira Trust Distribuidora de Títulos e Valores Mobiliários as trustee for the transaction.
The transaction was completed under a tight execution window of approximately one week, covering structuring, negotiation, coordination and closing. The offering combined a corporate guarantee with a collateral arrangement that is to be formalized post-closing, adding a layer of complexity to the already compressed timeline.
