Carey advised HP on acquisition of Samsung´s printer business
Carey advised HP under Chilean law on its acquisition of Samsung Electronics’ printer business, as part of a global deal valued at $1.05 billion.
The transaction was structured as an asset purchase deal through the execution abroad of a master purchase agreement, which provided for the execution of local conveyance agreements in each of the jurisdictions involved in the transaction.
Carey assisted HP in corporate, tax and labor matters for the transfer of assets, liabilities and employees related to the transferred business from the seller’s Chilean subsidiary to the buyer’s.

Globally, HP instructed CMS for the transaction and Paul Weiss for labour matters.
