Carey, Skadden advised The Warranty Group on $2.5 billion sale to Assurant

Carey advised The Warranty Group on the Chilean law aspects of its acquisition by Assurant. Skadden acted as global counsel on the deal. 

The Warranty Group is a global provider of protection plans and related programs, and is a portfolio company of TPG Capital, the alternative asset management firm. It is headquartered in Chicago and operates in more than 35 countries and has nearly 1,600 employees.

Assurant is based in New York and is a publicly listed insurance provider with approximately 14,500 employees in 17 countries.

The transaction was valued at $2.5 billion and spanned six jurisdictions. It is expected to close in the first half of 2018, subject to customary shareholder and regulatory approvals.

The Warranty Group instructed Skadden, Arps, Slate, Meagher & Flom as counsel in New York, London, Washington DC and Brussels.

In Chile, the company retained a team at Carey led by partners Pablo Iacobelli and Guillermo Acuña. In Brazil, it relied on BMA – Barbosa, Müssnich, Aragão for local counsel and on Creel, García-Cuéllar, Aiza y Enriquez for Mexico.

Assurant instructed Willkie Farr & Gallagher in New York; Pinheiro Neto in Brazil and Prieto Abogados in Chile. For Mexico, Assurant retained a team at Nader, Hayaux & Goebel led by partners Luciano Pérez and Yves Hayaux du Tilly.
