Cescon Barrieu advise Petro Rio on merger with Dommo Energia
Cescon Barrieu advised Petro Rio on the merger, by a subsidiary, of all shares issued by Dommo Energia.
The transaction value was BRL 889.970.006,00 and involved the business combination between two publicly-held companies of the same sector, one of which was a subscription warrant’s issuer.
The transaction was innovative in the solution given to the subscription warrants of a company whose shares were merged, which required intense negotiations between the parties and the creation of a solution compatible with the applicable law and with the rights of the subscription warrants’ holders, considering the gap in the law and regulation on this matter.
