Demarest and Machado Meyer act on BRL1bn debentures deal
Demarest Advogados advised Concessionária Rodovia da Integração SPE on its first issuance of debentures, structured for public distribution through the automatic registration process with the Brazilian Securities and Exchange Commission and directed exclusively to professional investors. The transaction totaled BRL1 billion.
The proceeds raised by the issuer will be allocated to financing capital expenditures (CAPEX), costs and other obligations, entered into with the Government of the State of Mato Grosso do Sul through the State Secretariat for Infrastructure and Logistics. The agreement covers the recovery, operation, maintenance, conservation, improvement and capacity expansion of a highway system comprising sections of State Highways MS-040, MS-338 and MS-395 and Federal Highways BR-262 and BR-267, pursuant to Public Bid Notice No. 01/2024.
Itaú BBA Assessoria Financeira and Banco Bradesco BBI acted as coordinators of the offering, with Machado Meyer Advogados providing legal advice on their side of the transaction.
