GC assists Advent in acquisition of Grupo Somar for Procaps
González Calvillo has assisted Advent International in the acquisition, in favour of Procaps, of 100% of the shares of Grupo Somar and subsidiaries, including Grupo Farmacéutico Somar, Química y Farmacia, Gelcaps, formerly owned by Advent.
This transaction, expected to close in the fourth quarter of 2022, expands Procaps’ presence in the Mexican market as part of its growth plan in Latin America. It will also allow Procaps to increase its manufacturing capacity, including gelatin capsules, and diversify its portfolio.
Simpson Thacher & Bartlett, Galicia Abogados, Allen & Overy and Bonn Steinchen & Partners also acted as advisors to Advent International in the United States, Mexico, Germany and Luxembourg, respectively. Greenberg-Traurig and Arendt & Medernach advised Procaps in Mexico and Luxembourg.
Procaps is a Colombian pharmaceutical company, with a presence in 50 countries, dedicated to the development of pharmaceutical and nutraceutical solutions, medicines and hospital supplies, manufacturing and marketing of over-the-counter (OTC) and prescription (Rx) pharmaceuticals, nutritional supplements and high potency clinical solutions.
Grupo Somar is a pharmaceutical company that develops, manufactures and markets high-quality branded generic, private label and OTC products for the private market and offers contract manufacturing and development organisation services.
