Lobo de Rizzo advises on Fiagro Field fund deal
Lobo de Rizzo advised on the first issuance of quotas by Fiagro Field Máquinas I Direitos Creditórios Responsabilidade Limitada, an agribusiness investment fund domiciled in Brazil. The firm acted as deal counsel, drafting, reviewing and negotiating the documentation underlying the operation.
The issuance comprised a single class of quotas divided into three subclasses: 124,500 senior quotas, which were distributed through a public offering of securities intermediated by Kea Capital Markets, the lead coordinator; 22,500 mezzanine subordinated quotas; and 3,000 junior subordinated quotas. The mezzanine and junior quotas were placed through a private offering, while the senior quotas were sold exclusively to professional investors as defined under article 11 of CVM Resolution No. 30, dated 11 May 2021, as amended. The public offering was registered with Brazil’s securities regulator, the CVM, under the automatic registration procedure set out in article 26, item VI, letter a, of CVM Resolution No. 160, dated 13 July 2022, as amended.
The fund’s assignors were Maqcampo Soluções Agrícolas, Maqcampo Irrigação and MCPO Rental. Vórtx Distribuidora de Títulos e Valores Mobiliários acted as the fund’s administrator, while Field Gestora de Recursos served as its manager. Kea Capital Markets acted as lead coordinator of the public offering.
