Machado Meyer assists America Net in merger of business with Vero

Machado Meyer Advogados has assisted America Net in its presentation to the Cade of the business combination between Vero and Americanet, which will be carried out through the incorporation of shares in Meppel, Americanet’s parent company, by Vero.

As a result of this operation, notified to Cade and ANATEL on 18 July, the shareholders of Meppel will become shareholders of Vero, so that Meppel, Americanet and all its subsidiaries will become subsidiaries of Vero. Lefosse Advogados acted as advisor to Vero.

This combination involves two major players in the telecommunications sector, resulting in horizontal overlaps and vertical integrations in several segments of the telecommunications market. As a result, both companies will have the possibility to expand the supply of telecommunications services, especially the supply of data services and connectivity over fibre optic networks, given the geographical complementarity and business models of the companies. Also, from the consumers’ perspective, the company resulting from the combination of their businesses will be more economically and financially robust and will be better able to compete vigorously, maintaining and acquiring new customers, with the offer of better products and services in typically underserved regions of the country, especially considering the consolidation of competition in the telecommunications sector and the pace of technological innovations.

The consultancy involved assistance in the presentation of the transaction to CADE, in the analysis of the information, in the notification strategy, in the collection of corporate documents, declarations and certificates from America Net and its subsidiaries, as well as in the drafting of the request for prior consent to ANATEL and the follow-up of the analysis of the case until the final decisions of CADE and ANATEL.
