Mattos Filho and Felsberg advise on CAGEPA sanitation PPP

Mattos Filho advised Acciona and Felsberg advised BNDES on CAGEPA’s BRL 3 billion sanitation PPP in Paraíba. The public-private partnership (PPP), awarded by Companhia de Água e Esgotos da Paraíba (CAGEPA), covers the expansion, operation and maintenance of sewage infrastructure in the State of Paraíba.

The project was awarded to Acciona following an auction held on B3 on May 15. It covers 85 municipalities across the Alto Piranhas and Litoral microregions and is expected to attract approximately BRL 3 billion in investments over a 25-year concession term.

Structured as an administrative concession under Brazil’s New Sanitation Legal Framework, the project provides for public remuneration through fixed and variable payments linked to operational performance.

Mattos Filho advised Acciona throughout the project, including the assessment of the opportunity, structuring of its participation in the bidding process, regulatory and contractual analysis, risk assessment and support during the auction procedure. The team included partners André Luiz Freire and Marina Anselmo Schneider, and associates Luiz Eduardo Altenburg de Assis and Guilherme França Vita.

Felsberg Advogados advised BNDES, the structuring authority of the project, during all phases of the transaction, including technical studies, structuring discussions and the preparation of bidding and contractual documents. The team included partners Fabricio Soler, Marianne Albers, and lawyers Luis Ricardo Ramos and Lívia Cassanti Mosca.
