Mattos Filho and Pinheiro Neto on BRL 500m usufruct deal

Mattos Filho advised Perfin, and Pinheiro Neto advised Itaú Unibanco on the execution of a paid usufruct agreement with the Classe Única Infraestrutura do Perfin Apollo Energia Fundo de Investimento em Participações, under which Perfin granted Itaú 100% of the economic rights relating to the shares it held in four Brazilian power transmission companies: TPE Transmissora Paraíso de Energia, TCC Transmissora Caminho do Café, TSM Transmissora Serra da Mantiqueira, and ETB Empresa de Transmissão Baiana. The gross transaction value was BRL 500 million.

The structure represents a linearization of the future flow of dividends and other proceeds from the portfolio companies, with an estimated duration of nine years.
