Mattos Filho and Stocche Forbes work on the creation of a JV between BR Distribuidora and Americanas

Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados advised Lojas Americanas; Stocche Forbes Advogados advised Vibra Energia (BR Distribuidora)

Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados advised Lojas Americanas that closed a partnership for the integration of the convenience stores BR Mania and Local, which will be effected through the creation of a joint venture. The parties will have 50% stakes in the new company to be set up. Stocche Forbes Advogados advised Vibra Energia (BR Distribuidora).

For the creation of this partnership, an enterprise value of up to R$ 995 million was considered, which considers the contribution of the BR Mania franchise network and the Local stores. In addition, the transaction includes a payment by Americanas of up to R$ 305 million, in the form of an investment in the new company of approximately R$ 252 million, and a payment of up to R$ 53 million of a variable portion to BR, based on performance targets.
