Mattos Filho and wm&t act in JV between Boa Vista and Red Ventures

Mattos Filho represented Boa Vista in the formation of a joint venture with Red Ventures wich was advised by wm&t advogados.

The JV was formed with the purpose of developing and operating a credit and financial services marketplace for consumers, among others, by means of the creation of a new company.

The structuring of the joint venture will take place by means of assets contribution, such as the “Consumidor Positivo” business unit, the entire capital stock of Acordo Certo, BRL 70 million by RV, the entire capital stock of IQ360 platform and intellectual property assets used by IQ360.

The completion of the joint venture is subject to the completion of certain usual conditions for this type of transaction, such as the implementation of corporate reorganizations to structure the assets that will be contributed to the joint venture, Boa Vista’s shareholders approval and obtaining approval by the Brazilian Antitrust Authority (CADE).
