Morimor acts in company conversion of MMGGAF

Morgan & Morgan Legal has advised MMG Global Allocation Fund (MMGGAF) before the Stock Market Superintendence (Superintendencia de Mercado de Valores) in the registration procedure for the modification of the terms of the public offering of its participating shares and the authorisation for the conversion from a simple closed-end investment company to an umbrella closed-end investment company.

This transaction also involved increasing the company’s share capital to offer different classes of participating shares, each of which will represent and hold an interest in a portfolio of investments or assets operated as separate, segregated and independent sub-funds.

The Fund is authorised to publicly offer up to 500,000,000 participating common shares of different classes through the Latin American Stock Exchange.

MMG Bank Corporation has been retained as paying, registrar and transfer agent, as well as custodian and placement agent for MMGGAF, and MMG Asset Management has been retained as investment manager.

Morimor’s team was composed of partners Ricardo Arias (pictured left) and Ana Carolina Castillo (pictured right), with support from associate Arantxa Fernández.
