Martínez on sale of Pharma Consulting Group to Swixx Biopharma

Martínez Quintero Mendoza González Laguado & De La Rosa has advised Laboratorios Biopas on the sale of 100% of the capital of Pharma Consulting Group to Swixx Biopharma, a Swiss-based global commercial platform dedicated to unlocking access to innovative medicines worldwide.

The transaction, signed on 22 April, will consolidate Swixx Biopharma’s strategic expansion in Latin America. The transaction is expected to close in June or July 2024, subject to regulatory approvals and customary conditions.

Jurisdictions involved in the transaction included Switzerland, Colombia, Panama, Costa Rica, Dominican Republic, Peru, Mexico, Chile, Ecuador, Argentina, Guatemala, Honduras, El Salvador, Brazil, among others. Other participating firms were Walder Wyss as lead advisor to the buyer, Homburger as advisor to the seller in Switzerland, RBC as advisor to the seller in Panama, Arifa as advisor to the buyer in Panama, Morgan & Morgan as counsel of Biocorp in Panama, and Cuatrecasas as counsel to Swixx BioPharma in different jurisdictions.

Biopas, the seller, is a leading pharmaceutical company in Latin America, specialising in the licensing, marketing and sale of cutting-edge specialty pharmaceuticals.

Martínez’ team was led by Felipe Quintero (pictured), with support from Maria Jose Rocha, Paula Toro, Carolina Ortiz and Catalina Lopez.

Walder Wyss’ team included Markus Visher, Angela Kummer, Samuel Lieberherr, Nico Bernhard and Iliana Djagova.

Homburger’s team consisted of Andreas Müller and Hans Glent Abildgaard.

RBC’s team consisted of Irene Bolivar and Jose Javier Rivera.
