PHR assists Odinsa in agreement with MIP V for airport investments
Posse Herrera Ruiz has assisted Odinsa, Grupo Argos’ concessions company, in the offer by Macquarie Infrastructure and Real Assets (MIRA) and Macquarie Infrastructure Partners V (MIP V), for the sale of 50% of their shares and investments in the airport concessions in Colombia and Ecuador, and their rights in new projects, and their subsequent contribution to the Investment Platform.
As a result, Odinsa and MIP V will become investors in the Investment Platform which, in turn, will hold all the shares in the respective airport concessions.
This transaction was completed on 28 September for approximately $658,000,000 Colombian pesos. The closing of the sale and purchase remains subject to required governmental approvals.
Other participating firms were Willkie Farr & Gallagher, Uría Menéndez and Pérez Bustamante Ponce as advisors to Odinsa; and Gibson Dunn & Crutcher, DLA Piper Martínez Beltrán, Bustamante Fabara and DLA España as advisors to MIP.
The investment platform aims to manage the current airport assets of Odinsa and Grupo Argos in Colombia and Ecuador with a consolidated valuation of close to 1.3 billion Colombian pesos; as well as the initiatives that Odinsa has been leading to date in the airport sector in Colombia, including: the New Cartagena Airport, which seeks to develop the necessary infrastructure to support passenger demand for the next 50 years; El Dorado Max, an efficient solution to maximise the use of the current terminal at El Dorado airport; and Campo de Vuelo El Dorado, which proposes improvements to the airport’s runways and taxiways.
Eduardo Bettin, Juan Camilo Hoyos and Valentina Santacoloma acted as in-house counsels to Odinsa.
