Pinheiro Neto advises Oncoclínica on deal with Unimed-Rio
Pinheiro Neto Advogados assisted Oncoclínica Centro de Tratamento Oncológico (CTO) and Gaia Silva Gaede assisted Unimed-Rio Participações e Investimentos (Unimed-Rio) entered into a share purchase agreement for the acquisition by CTO of: the remaining interest held by Unimed-Rio in Centro de Excelência Oncológica (CEON), representing 50% of its capital stock; and the remaining interest held by Unimed-Rio in Pontus Participações (PONTUS), holding company that owns 100% of Hospital Marcos Moraes (HMM), representing 49.99% of the capital stock of PONTUS.
Upon closing of the transaction – which remains subject to the satisfaction of usual conditions precedent for transactions of this nature, including approval by the Brazilian antitrust authorities – CTO will directly hold, therefore, 100% of the capital stock of both CEON and PONTUS (and, indirectly, HMM).
