RAD counsels Estela on TCI acquisition

Rebaza Alcázar & De Las Casas has counselled Estela, a digital fulfilment company in Latin America, on the acquisition of Transporte Confidencial de Información – TCI.

With this acquisition, Estela seeks to expand its operations in the region, a process that also included the acquisition of Digiflow last November.

This transaction was completed on 18 December, with Morales & Besa acting as advisor to Estela in Chile, and Vizquerra Córdova & Gálvez Abogados advising TCI and the sellers in Peru.

Estela is a technology company that provides solutions for the issuance of electronic tax documents, electronic signature, among others. The company operates in the region through Pegaso Tecnología, Facture and Indicium. Estela is backed by Accel-KKR, a global private equity firm with $19 billion in cumulative capital commitments, focused exclusively on software and technology services companies.

TCI is a company with more than 30 years in the Peruvian market, dedicated to electronic invoicing system services and electronic invoice validation services.

Vizquerra Córdova & Gálvez Abogados’ team included partners Carlos Raúl Vizquerra and Luis Enrique Córdova, and senior associate Claudia Arias.

Morales & Besa’s team comprised partner Michel Dibán and associates Vicente Valdés and Juan José Prieto.
