RAD represents SIGMA FI in sale of wind farms to Luz del Sur
Rebaza Alcázar & De Las Casas has represented Sigma Fondo de Inversión en Infraestructura (SIGMA FI), managed by Sigma Sociedad Administradora de Fondos de Inversión (SIGMA SAFI), in the sale of its direct and indirect 100% stake in Tres Hermanas Wind Farm and Marcona Wind Farm to Luz del Sur, a subsidiary of China Yangtze Power (CYPC).
This transaction was carried out on 14 December for an amount of USD $170,005,966.00, which is subject, among others, to the prior approval of Indecopi.
The wind farms constitute the largest wind farms in San Juan de Marcona, Ica, Peru, and have an installed capacity of 129 MW.
Sigma SAFI is one of Peru’s leading investment fund managers, focused on investments in the infrastructure and operational leasing sectors, among others. Sigma Fl is the largest investment fund investing in infrastructure in Peru, established in 2012 with a private capital of USD 500 million, whose investors are three Peruvian PFAs, the ONP and COFIDE.
Luz del Sur is one of the largest electricity distribution companies in Peru, supporting more than 30% of the electricity distribution market.
The advisory services involved support on the tax aspects of the transaction, as well as on regulatory issues related to the investment funds involved in the sale, while Rey Cauvi Pérez Abogados advised on the negotiation and contractual structure. Sigma’s in-house legal team led the transaction and coordinated with external advisors.
