Sanjinés advises Pluspetrol Bolivia in the sale of shares to Fluxus
Bolivian law firm Sanjinés & Asociados, has advised Pluspetrol Bolivia Corporation in the sale of its shares to the Brazilian conglomerate J&F Investments, through its subsidiary Fluxus Holding.
This sale marks Pluspetrol’s strategic exit from the Bolivian market, after more than 27 years of operations in the country. The acquisition by Fluxus consolidates its presence in the Bolivian energy sector and opens up new opportunities for growth in the region, as of May 29, the date on which the transaction was formally closed.
The transaction, valued at tens of millions of USD, involved the jurisdictions of the Cayman Islands, Argentina, Uruguay and Brazil. Galindo Canedo & Asociados also participated.
The advice involved structuring the transaction, drafting and negotiating agreements, reviewing and negotiating all relevant contracts and managing compliance by ensuring compliance with all applicable legal regulations.
Juliana Villa Mello acted as in-house counsel to Fluxus Corporation; while Ignacio Vicente Lopez provided in-house counsel to Pluspetrol Resource Corporation in Uruguay.
