Several firms act on CSN issue
BMA Advogados have acted as Brazilian advisors to CSN Resources, a corporation organized and existing under the laws of the Grand Duchy of Luxembourg (issuer) and Companhia Siderúrgica Nacional (CSN) in connection with the issuance of US$500 million in 8.875% notes due 2030 by the issuer. The New Notes will be fully and unconditionally guaranteed by CSN.
Cleary Gottlieb represented Bradesco BBI, BTG Pactual, Citigroup, Credit Agricole CIB, J.P. Morgan, Morgan Stanley, Santander and UBS Investment Bank, as initial purchasers.
BMA also acted as Brazilian advisors to the issuer in connection with the tender offer of 7.625% senior unsecured guaranteed notes due 2026 issued by the issuer, on the terms and subject to the conditions set forth in the offer to purchase dated November 29, 2023. The net proceeds of the New Notes were used to acquire the Existing Notes offered in the context of the Offer to Purchase.
