Several firms acts in acquisition of Kimberly-Clark by Suzano

Pinheiro Neto Advogados and Gibson, Dunn & Crutcher LLP assisted Kimberly Clark, while Mattos Filho and Cleary Gottlieb represented Suzano, the world’s largest pulp producer, on the acquisition of Kimberly-Clark’s (K-C) tissue products business in Brazil.

The definitive agreements were signed on October 24, 2022, and the closing of the transaction is subject to regulatory approvals, a corporate reorganization and customary closing conditions.

At closing, Suzano will acquire 100% of the quotas of a new company that will own all K-C’s assets related to the business of manufacturing, marketing, distributing and/or selling of tissue products, including toilet paper, paper towels, napkins, tissues, as well as other paper products in Brazil, including ownership of the brand “Neve.” As part of the deal, other global brands currently used by K-C will be licensed to Suzano.
