Simpson Thacher in BBVA Peru bond tender offer

Simpson Thacher has advised the initial purchasers in the tender offer by Banco BBVA Peru of US$300 million aggregate principal amount of Subordinated Notes due 2034, pursuant to Rule 144A and Regulation S under the Securities Act. The notes will qualify as Tier II Regulatory Capital of BBVA Peru.

BBVA, Bank of America and Goldman Sachs acted as initial purchasers. Payet Rey Cauvi Pérez Abogados (PRCP) advised the latter entities in Peru.

The Firm also represented BBVA, Bank of America and Goldman Sachs as dealer managers in connection with a concurrent cash tender offer whereby BBVA Peru offered to purchase any and all of its 5.250% Subordinated Notes due 2029.

BBVA Peru is a leading provider of banking services to retail and commercial customers in Peru. Interbank is a subsidiary of BBVA Peru Holding, which in turn is a subsidiary of Banco Bilbao Vizcaya Argentaria, a company listed on the New York Stock Exchange.
