Stocche Forbes and Demarest on Biobest’s acquisition of Biotrop
Stocche Forbes advised Biobest do Brasil, a subsidiary of Biobest Group NV, on the acquisition of 85% of Biotrop Participações, based on an enterprise value of R$ 2,8bi, a leading agtech focused on biologicals and natural sustainable solutions for agriculture, with strong presence in South America through its Brazilian subsidiary Total Biotecnologia Indústria a Comércio, and subsidiaries in Argentina, Chile, Ecuador, Peru, Paraguay, Colombia, and also in United States, Portugal and Mexico. The remaining 15% may be acquired by Biobest after a transition period of three years. The closing of the transaction is subject to the satisfaction of customary conditions precedent.
Demarest advises Agrofundo Brasil III Fundo de Investimento em Participações Multiestratégia (Biotrop Participações). This transaction is a landmark for Biobest Group N.V., whereby the Belgian group enters the agriculture Braziian market, allowing Biobest to take a major position in South America, strengthening its marketshare throughout the biological integrated pest control sector.
