TozziniFreire advise Clariant on its sale to Global Amines

TozziniFreire Advogados advised Clariant’s Quats Business by Global Amines Company, a 50/50 joint venture owned by Clariant and Wilmar.

Clariant has reached a definitive agreement for the divestment of its Quats (quaternary ammonium compounds) business globally. The transfer will be an asset sale of the global sites in Germany, Indonesia, and Brazil and will provide for tolling agreements where needed. The transaction is subject to regulatory approvals and customary closing conditions. The transaction is expected to be consummated in the first half of 2023.

The transaction value was USD 113 million.

TozziniFreire Advogados relied on led partners Maria Elisa Gualandi Verri (pictured left), Silvia Castro Cunha Zono (pictured right), and partners Marcelo Calliari, Vivian Anna Fraga, Adriana Mathias Baptista, Bianca Bilton Signorini Antacli and Thiago Medaglia, associates Mariana Del Nero Cornibert da Barrosa, Bárbara Corrêa de Queiroz, Rodrigo da Silva Alves dos Santos, Ciro Martins Alvarenga and Louise Marie do Nascimento Ynoue.
